1. Acceptance of Terms

By accessing or using Marketplae ("Platform," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Platform.

2. Definitions

• Platform — Marketplae, the multivendor digital marketplace operated at www.marketplae.com
• Seller / Vendor — a registered user who lists and sells digital products on the Platform.
• Buyer — a registered or guest user who purchases digital products on the Platform.
• Affiliate — a registered user who promotes Seller's products in exchange for commission.
• Digital Product — any non-physical, downloadable or access-based item sold through the Platform (e.g. software, templates, courses, ebooks, graphics, files, licenses, etc).

3. Eligibility

• You must be at least 16 years old to register or transact on the Platform.
• You must provide accurate account information and keep it current.
• The Platform may refuse, suspend, or terminate any account at its discretion.

4. Role of the Platform

Marketplae is a marketplace connecting Sellers, Buyers, and Affiliates. We do not create, manufacture, or guarantee the products listed. Sellers are solely responsible for the legality, quality, accuracy, and delivery of their own products.

5. Seller Terms

5.1 Listings

• Sellers must own or hold valid rights/licenses to sell any product they list.
• Listings must accurately describe the product, its format, and the usage rights granted to Buyers.
• Pirated content, malware, plagiarized work, or anything violating applicable law or third-party rights is strictly prohibited.

5.2 Revenue Share

Every sale is split as follows:

• The 15% Platform Fee is deducted from every single sale, regardless of whether an Affiliate is involved.
• If the Seller has enabled the Affiliate Program on that product and the sale came through an Affiliate, an additional fixed 15% Affiliate Commission is deducted from the Seller's share.
• If no Affiliate is involved, the Seller receives 85% (100% − 15% Platform Fee).
• Seller's final revenue therefore ranges 70%–85% per sale, depending on whether an Affiliate was involved.

5.3 Affiliate Eligibility by Price

• Products priced below the Platform's designated minimum threshold (currently BDT 229) are not eligible for the Affiliate Program. The affiliate toggle will be visible on the listing but disabled.
• Products priced at or above this threshold may be opted into the Affiliate Program by the Seller, individually per listing.
• The Platform may revise this threshold at its discretion.

5.4 Seller Control

• Sellers may switch the Affiliate Program on or off per eligible product.
• Affiliate badge tiers (Bronze / Silver / Gold) are fixed platform-wide and cannot be altered by individual Sellers.

6. Affiliate Program Terms

6.1 How It Works

• Affiliates promote eligible, affiliate-enabled products using tracking links provided by the Platform.
• When a sale completes through an Affiliate's link, commission is calculated and deducted automatically at the moment of sale.

6.2 Badge Tiers

An Affiliate's tier is based on their cumulative number of successfully affiliated products across the Platform:

• Tier status updates automatically as an Affiliate's activity grows, and applies to future sales once reached.
• The Platform may revise tier thresholds or badge structure at its discretion, with notice to Affiliates.

6.3 Affiliate Conduct

Affiliates may not: self-refer, generate fraudulent clicks or sales, spam, use misleading advertising, or manipulate tracking data to inflate commissions. Violations may result in forfeiture of pending commissions and account termination.

7. Payments, Ledger & Payouts

• Platform Fee and (where applicable) Affiliate Commission are calculated and deducted at the moment each sale completes — not at withdrawal time.
• The net remainder is credited immediately to the Seller's available balance; commission is credited immediately to the Affiliate's available balance.
• Withdrawals are manual — requested by the Seller/Affiliate and processed by the Platform — and only ever cash out already-settled available balance.
• Sellers and Affiliates can view a full per-sale ledger (Platform Fee, Affiliate Commission, net earnings) in their dashboards.
• Payments may be processed through third-party payment gateways; their terms may also apply to your transactions.

8. No Refund Policy

• All sales are final. Due to the nature of digital goods (instant access/download upon purchase), the Platform does not offer refunds, returns, exchanges, or cancellations under any circumstances — including change of mind, incompatibility, or dissatisfaction.
• By completing a purchase, Buyers acknowledge and accept this policy.
• Sellers are responsible for providing accurate, complete product descriptions so Buyers can make informed purchasing decisions before buying.

9. Prohibited Conduct

Users may not:

• Upload, sell, or promote illegal, infringing, plagiarized, or fraudulent content.
• Distribute malware, viruses, or harmful code.
• Manipulate reviews, ratings, sales figures, or affiliate metrics.
• Circumvent the Platform's fee/commission structure (e.g. directing buyers off-platform to avoid fees).
• Impersonate any person or entity, or misrepresent ownership/rights to a product.

10. Intellectual Property

• Sellers retain ownership of their original products but grant the Platform a non-exclusive license to host, display, market, and distribute them for sale.
• Buyers receive a limited, non-transferable license to use a purchased product as described in its listing. Buyers do not acquire ownership or resale rights unless the Seller explicitly states otherwise.
• The Platform's name, logo, and branding belong to Marketplae and may not be used without permission.

11. Intellectual Property Complaints

If you believe content on the Platform infringes your rights, contact support@marketplae.com with details of the claim. The Platform may remove infringing listings and suspend repeat offenders.

12. Fraud & Chargebacks

• The Platform may withhold, reverse, or deduct earnings connected to fraudulent transactions, chargebacks, disputed payments, or policy violations.
• Accounts engaged in fraud (fake sales, fake affiliate activity, payment fraud) may be suspended or terminated without prior notice, and any associated balance forfeited.

13. Account Suspension & Termination

• The Platform may suspend or terminate any account for violating these Terms, suspected fraud, or legal/regulatory reasons.
• Users may close their own account at any time; any legitimately settled available balance will be paid out through standard withdrawal procedures, subject to Section 12.

14. Disclaimers

The Platform is provided "as is," without warranties of any kind. We do not guarantee uninterrupted, error-free operation, or the accuracy, quality, or legality of Seller-listed products.

15. Limitation of Liability

To the maximum extent permitted by law, Marketplae is not liable for indirect, incidental, special, or consequential damages arising from use of the Platform, including loss of revenue, data, or business opportunity.

16. Indemnification

Users agree to indemnify and hold Marketplae harmless from claims, damages, or expenses arising from their use of the Platform, their listed products, or their violation of these Terms.

17. Dispute Resolution

Disputes will first be addressed through good-faith negotiation. If unresolved, they will be settled through binding arbitration or another mutually agreed mechanism, on an individual basis (no class actions).

18. Changes to These Terms

We may update these Terms periodically. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
